There seems to be a bit of mystery surrounding starting or running your own business or nonprofit. Give me a call or send along an email, and I will demystify the process for you.

Starting a Business

When you are starting a business, one of the first things you need to do is decide who or what will own it. Do you want to own it outright (an attractive choice for its simplicity) or would you like to have some liability protection by placing the ownership of the business in a separate legal entity (an attractive choice because you'll likely keep your shirt if the business is sued)? This is where I come in. Among the services you may need are:

  • Entity selection;

  • Filing of Articles of Incorporation or Articles of Organization with the state to legally create your business;

  • The services of a registered agent for your business;

  • Drafting of corporate bylaws, limited liability company operating agreement, or records of organizational action;

  • Advice regarding licensing;

  • Filing of tradenames and trademarks with the state.

Running a Business

After you have your business up and running there are still plenty of legal issues you will face. Among the services you may need are:

  • Contract interpretation, negotiation, or drafting;

  • Due diligence assistance in mergers and acquisitions;

  • Succession planning and coordination with your estate plan.

Nonprofits
